			<content:encoded><![CDATA[<p>Gresham Computing plc, the specialist provider of software based solutions that enable customers to achieve real-time financial certainty in transaction and cash management, is pleased to announce the following contract win.</p>
<p>On 15 May 2013, we announced that the Group was engaged in a number of paid projects with global financial institutions for the deployment of CTC.  The Board is pleased to announce that the first of these projects, with a major financial services company in the Asia Pacific region, has moved to signed contract for the purchase of CTC as a platform technology from which to complete a major intersystems reconciliation project. </p>
<p>Chris Errington, CEO of Gresham, commented:</p>

<p>Jake Sweeney has been appointed Sales Director of APAC based in Sydney and Spencer Black, Senior Sales Executive focusing on the UK market.</p>
<p>&#8220;With our recent office opening in Melbourne and expansion across Sydney and London, we were looking for talented individuals to accommodate our rapid growth,&#8221; said Bill Blythe, Global Business Development Director, Gresham Computing. &#8220;Both Jake and Spencer have the knowledge and expertise to serve our growing client base and we are delighted to have them on board.&#8221;</p>
<p>Sweeney brings with him over 15 years&#8217; experience in financial services. He has served in numerous roles at SmartStream and most recently was the Sales Manager for Australia and New Zealand. Under his leadership, the Australasia region grew year on year, outperforming all other regions. Prior to this, he was part of CheckFree, now Fiserv, in a Senior Consultancy role. Sweeney was also the Special Engagements Lead at Mercator Software.</p>
<p>Prior to Gresham, Black was part of SmartStream&#8217;s London operations where he held the role of Senior Sales Executive. He was responsible for mainstream accounts across the buy and sell-side and helped generate licensing and professional services from existing and new clients. With 15 years&#8217; experience in the financial services space, he has worked in various senior sales positions at Complinet, Link Asset &#038; Securities, now ICAP and Advent Software.</p>
<p>In their new roles, Sweeney and Black will report into Bill Blythe, Global Business Development Manager. </p>

			<content:encoded><![CDATA[<p>Gresham Computing plc, the specialist provider of software based solutions that enable customers to achieve real-time financial certainty in transaction and cash management, reports its Interim Management Statement for the period 1 January 2013 to 15 May 2013.<br />
The Group has made a solid start to the financial year, with significant progress in commercialising our exciting new product Clareti Transaction Control (CTC):</p>
<ul>
<li>We have advanced a number of CTC opportunities with global financial institutions from proof of concepts to paid projects for the deployment of CTC in Asia Pacific and EMEA &#8211; we expect a number of these paid projects to proceed to full contractual engagements in due course, certain of which would be of significant value to the Group;</li>
<li>On the back of our accelerated investment in sales and marketing earlier this year, we are growing our qualified CTC opportunity pipeline for the second half of 2013 and beyond.</li>
</ul>
<p>Our continuing trading performance for the first quarter of 2013 is in line with management expectations and the Group&#8217;s financial position remains strong.  On 11 March 2013, we announced the disposal of our Banking and Lending business operating in the Caribbean market, allowing us to focus attention on our strategic objectives for CTC in North America. The total consideration received was £0.5 million, generating a loss on disposal of approximately £0.3 million with a net cash inflow of approximately £0.3 million.</p>
<p>Based on the significant strategic progress made so far this year, the Board is confident that 2013 will be a pivotal year for the Group as CTC is rolled out to a growing list of customers and we establish solid new revenue streams for the Group.</p>

			<content:encoded><![CDATA[<p>London, 7 May, 2013, Gresham Computing plc, a leading provider of transaction control solutions to international financial institutions and corporates, today announced that it is expanding its presence in Australia with new regional headquarters in Sydney at 1 Pacific Highway, as well as a new office in Melbourne. The move to new premises in Sydney and new office in Melbourne reflect the growth that Gresham is seeing in the region. Revenues in Australia have increased by over 25% year on year with further growth expected throughout 2013.</p>
<p>Gresham is seeing strong interest in its flagship Clareti Transaction Control (CTC) solution from banks and financial institutions across the region as they look to put in place real-time transaction controls to reduce operational risk, and also to improve and expand the services they offer to customers.  A key factor in this interest is the ability with CTC to rapidly on-board existing and emerging reconciliations onto a robust, best in class enterprise wide control platform to counter existing and emerging risks.  This contrasts with existing ‘point’ solutions that are inflexible and which lack the integrity of purpose-built productised platforms.</p>

<p><strong>Highlights for 2012</strong></p>
<ul>
<li>Real-Time Financial Solutions revenues up 10%;</li>
<li>Profit before tax up 15% to £1.6m (2011: £1.4m);</li>
<li>Basic EPS up 12% to 3.38 pence (2011 &#8211; 3.01 pence)</li>
<li>Net Cash £2.9m and no debt (2011 £3.6m and no debt);</li>
<li>Currently working on a number of significant opportunities for CTC in the bank and non-bank markets; and</li>
<li>Management confident about outlook.</li>
</ul>

			<content:encoded><![CDATA[<p>Gresham Computing plc announces that on 8 March 2013 it signed and completed an agreement to sell its 100% equity share interest in Gresham Computing Inc (Canada) (&#8220;GCIC&#8221;) to <a href="http://www.bevertec.com" target="_blank" title="http://www.bevertec.com">BITSS Global Inc. (&#8220;Bevertec&#8221;)</a>. </p>
<p>GCIC is registered in Ontario, Canada and is a trusted provider of Banking and Lending solutions predominantly to the Caribbean banking and financial institution market.</p>
<p>The total consideration received was £0.5 million, representing a settlement of the inter-company debt owed by GCIC to Gresham and a nominal amount for the shares of GCIC.  The consideration was satisfied in cash in full on closing. The sale proceeds from the disposal will be used for general corporate purposes.</p>
<p>The unaudited gross assets of GCIC as at 31 December 2012 were £0.4 million, the unaudited revenue of GCIC for the year ended 31 December 2012 was £1.8m and the unaudited profit or loss, after allocation of central costs for group segmental analysis purposes, was £nil million. The group loss on disposal of GCIC is approximately £0.3 million with a net cash inflow of approximately £0.3 million. The disposal is expected to have little impact on the Group&#8217;s ongoing profitability at an operating level.</p>
<p><strong>Chris Errington, CEO of Gresham, commented:</strong></p>

<p>This transaction represents the final step in the restructuring and refocusing of Gresham&#8217;s activities, which to date has resulted in a transition to stability, profitability and growth. The disposal allows us to focus attention on our strategic objectives for Clareti Transaction Control in North America, through further investment in our Gresham North American business, based in Denver Colorado, which already supports software deployments at over fifty major customers globally; over twenty of which are major financial institutions.&#8221;</p>

<p>Gresham has extensive expertise in implementing transaction and cash control solutions. At Giveall, Gresham has integrated the Barclays IFS Banking and Faster Payment platforms into the Giveall online fundraising and Giveall Payroll Giving platform – allowing Giveall to receive, control and manage the transactions and cash associated with fundraising activities. The solution automatically creates a Giveall online bank account for every charity and non-profit organisation user that registers with Giveall. These accounts operate seamlessly and quite separately from the users&#8217; regular bank accounts. Donors can accumulate funds in their donor accounts and incur no transfer charges on distributions made to charities. </p>
<p>A key selling point of Giveall’s business model compared to other giving platforms is that there are zero transaction costs, necessitating an efficient and effective handling of transactions. Gresham’s implementation of Barclays IFS provides significant straight-through reconciliation (STR) and control advantages for Giveall. The software eliminates the need for re-keying and other high-cost, manually-intensive operations while increasing overall control so that Giveall can manage transactions and cash in the most efficient way possible, while providing complete transparency.  </p>
