Result of AGM and issue of equity

Gresham, the specialist provider of real-time financial solutions, is pleased to announce that at the Annual General Meeting of the Company held at 11.00 a.m. today, all the resolutions set out in the Notice of Annual General Meeting dated 10 May 2010 were passed by a show of hands.

Save for admission, all conditions in respect of the proposed Placing of 5,285,088 new Ordinary Shares of 5 pence each in the capital of the Company (“Ordinary Shares”), as set out in the shareholder circular dated 10 May 2010, have now been satisfied.

Application has now been made for the Ordinary Shares to be admitted to the Official List and to trading on the main market of the London Stock Exchange, and dealings in such Ordinary Shares are expected to commence at 8.00 a.m. on 10 June 2010.
